1Introduction and acceptance
1.1Zerqo, comprising the website at https://www.zerqo.io and the Zerqo mobile application (the “Platform”), is owned and operated by Escalara Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Flat No. 2001, Tower No. C, Runwal Bliss, Mumbai 400 042 (“Escalara”, “Company”, “we”, “us” or “our”). These Terms govern access to the Platform and its online learning, educational content, assessments and related services (“Services”). Features and paid benefits are those actually described on the Platform and, where applicable, in the subscription purchased.
1.2Students access the educational Services through their Student Accounts. A separate Parent Account is optional and is not a condition of the Student’s registration, subscription or use of the Services, subject to any parental authorisation or data-processing consent required for a Child. A Parent who chooses this feature may access a linked dashboard through the web or mobile web to view the Student’s academic progress, scores, performance and analytics. There is no separate Parent Android application or Parent iOS application.
1.3A Parent authorizing a Child’s use enters into these Terms in their own capacity and undertakes the obligations expressly assigned to them. A Child is a permitted learner and is not required to enter into a binding contract, give an indemnity or undertake payment obligations. References to “you” mean the adult learner, Parent or other contracting adult, as appropriate; references to a Child’s conduct describe conditions of permitted use. Before acceptance, the contracting adult must have an opportunity to read these Terms and the Privacy Policy and affirmatively accept these Terms through the relevant registration, authorisation or purchase process. A Parent may authorise a Child’s use and provide any required consent without creating a Parent Account. Merely browsing, a Child’s use, or silence does not establish parental authorisation or consent required by law. If the relevant contracting adult does not accept these Terms, account-based Services cannot be used under that authorisation.
1.4These Terms, the Privacy Policy and any service-specific terms expressly disclosed and accepted before purchase or activation form the relevant platform documents. Acceptance of these Terms does not, by itself, constitute consent to every collection, use or disclosure of personal data. Privacy notices, parental permissions and any data-processing consent required by Applicable Law shall be provided or obtained through the relevant process described in the Privacy Policy.
1.5These Terms govern the contractual use of the Services; the Privacy Policy governs our personal-data practices. Specific purchase terms prevail for the plan’s price, duration and expressly agreed benefits. Mandatory law prevails over every platform document. No inconsistency shall be resolved merely by selecting the provision most favourable to Escalara, and no purchase term expands a data-processing permission.
2Definitions and interpretation
2.1“Applicable Law” means the laws, rules, regulations, binding directions and orders applicable to the relevant activity, in each case only to the extent and from the date they are in force. This includes the Information Technology Act, 2000, the rules made under it, applicable consumer-protection laws, and the Digital Personal Data Protection Act, 2023 (“DPDP Act”) and Digital Personal Data Protection Rules, 2025 (“DPDP Rules”), as their respective provisions become applicable.
2.2“Student” means a learner using the educational Services. “Student Account” means the registered account through which a Student accesses the Services. “Parent” means a Child’s parent or lawful guardian. “Parent Account” means the optional web or mobile-web account through which an appropriately authorised Parent accesses the linked Student’s academic dashboard. “Account” means a Student Account or Parent Account, as the context requires. “Child” means an individual who has not completed eighteen years of age. “Content” means educational material supplied through the Platform, excluding User Content unless the context otherwise requires. “Personal Data” means data about an individual identifiable by or in relation to that data. “Privacy Policy” means our privacy policy accessible at https://www.zerqo.io/privacy-policy. “Subscription Fees” means the charges for a paid plan disclosed before purchase. “User Content” means material submitted through an enabled feature, including assignments, questions, messages, images, audio, video and other learner submissions.
2.3References to laws mean those laws as amended and applicable at the relevant time. “Including” is illustrative and not exhaustive. Days mean calendar days unless expressly stated otherwise. Headings do not affect interpretation.
3Eligibility and parental authority
3.1A Student may register for a Student Account using the Platform’s registration process. Where the Student is a Child, contractual acceptance must be given by a Parent competent to contract under the Indian Contract Act, 1872, through the relevant parental authorisation process. A Child’s acceptance alone does not create a binding contract. Paid purchases must be authorised by a competent adult. A Parent may authorise a Child’s access only where they are that Child’s parent or lawful guardian, must provide accurate authority information and shall exercise reasonable supervision. None of these requirements makes a separate Parent Account mandatory.
3.2We may request information reasonably necessary to establish adult eligibility, parental authority, account security or a legal requirement, through a secure process. We shall explain the purpose and avoid requesting unnecessary documents or information. A refusal to supply information necessary for a particular feature may prevent access to that feature; optional information is not a condition of unrelated Services.
3.3A school, teacher, institution or other person cannot substitute for a Parent’s authorisation under these Terms. The Platform does not provide schools or institutions access to Accounts or Child data under this arrangement.
3.4A Parent may choose to register for a Parent Account and link the relevant Student Account through the Platform’s authorisation and verification process. The dashboard permits viewing of the linked Student’s academic information, including progress, scores, performance and analytics, subject to available features and lawful access. It does not confer unrestricted access to private messages, recordings, payment credentials or other Student information. Knowing a Student’s username, claiming parenthood or making a payment does not, by itself, authorise dashboard access.
3.5A Parent Account is accessible through the web or mobile web only; no separate Parent Android or iOS application is provided. The Parent shall protect their own credentials. Linking, unlinking or closing a Parent Account does not itself create or cancel a Student subscription or close the Student Account. Any separate request concerning parental consent, Student access or Personal Data shall be handled under Clauses 14 and 18.
4General use and service administration
4.1You shall use the Services lawfully and within the features and Student access permitted by the selected plan. A Parent authorising a Child’s use shall take reasonable steps to explain the acceptable-use requirements to the Child and prevent misuse of which the Parent becomes aware. These responsibilities do not depend on the Parent choosing the optional dashboard.
4.2Neither you nor the Child may impersonate another person, misrepresent age or parental authority, gain unauthorised access, bypass security or subscription controls, introduce malware, harvest other users’ information, interfere with the Services, harass or exploit others, or upload unlawful or infringing material. Restrictions on reverse engineering apply only to the extent permitted by Applicable Law.
4.3We may investigate suspected misuse, restrict access and remove material where reasonably necessary for safety, security, legal compliance or enforcement of these Terms. Review of account activity and content shall be limited to legitimate purposes described in the Privacy Policy and Applicable Law. We do not assume unrestricted permission to monitor a Child or disclose account information.
4.4We may maintain, improve or change the Platform. Where a change materially reduces an expressly purchased benefit, we shall give reasonable advance notice where practicable and offer an appropriate alternative or a proportionate refund for the unprovided benefit. Urgent legal, safety or security action may be taken without advance notice, with an explanation afterwards where lawful and practicable. Suspension and termination are subject to Clause 18.
4.5Additional terms for a new or optional feature shall be disclosed before activation or purchase and accepted where required. Their publication alone does not retrospectively alter an existing purchase or expand consent to process Personal Data.
5Limited licence
5.1Subject to these Terms and any paid access period, we grant a limited, non-exclusive, non-transferable and non-sublicensable licence to use the Platform and permitted Content for the Student’s personal, non-commercial learning and, where chosen, the Parent’s authorised use of the linked academic dashboard. Downloads, printing and offline access are permitted only where the feature or content licence expressly allows them. Any separate third-party or open-content licence identified with particular material continues to govern that material.
5.2You shall not resell access, commercially redistribute Content, remove proprietary notices, falsely imply our endorsement, or use our protected Content to develop or train another product or model without our written permission or a right under Applicable Law. We may seek lawful remedies for infringement or breach; these Terms do not authorise us to impose an arbitrary monetary penalty.
5.3The licence ends when the relevant access period expires or access is lawfully terminated, subject to any separately permitted downloaded-content rights. Ownership of the Platform and Content is not transferred to you.
5.4If you obtain the Zerqo Student mobile application from an app store, its applicable distribution and usage rules and standard application licence apply alongside these service Terms. These Terms do not replace the store’s standard end-user licence unless a separate compliant custom licence is expressly provided. Escalara remains responsible for its Services and support. Availability of the Student application through an app store does not make the Parent dashboard a separate mobile application or create an in-app purchase facility.
6Feedback
You may voluntarily provide suggestions for improving the Services. We may use the ideas in that Feedback, without payment, under a non-exclusive, worldwide, royalty-free licence for developing and improving our products. This permission does not authorise publication or unrelated processing of identifiable Child information, private submissions or recordings. Those materials remain subject to Clauses 11 and 14 and the Privacy Policy.
7Third-party content, providers and links
7.1The Platform may contain licensed third-party material and links to independent websites or services. An external link is not an endorsement. Independent third parties have their own terms and privacy practices, which you should review before choosing to use them. We do not control their independent services, but this does not exclude responsibility imposed on us by law or for our own acts or omissions.
7.2A provider processing Personal Data on our behalf is different from an independent external website. We shall use appropriate contractual and security arrangements required by Applicable Law for providers acting on our behalf. A third-party disclaimer does not transfer away Escalara’s own data-protection responsibilities.
7.3Embedded content, plug-ins or external features may involve third-party data collection even without leaving the Platform. Any such collection must be disclosed and lawful; accepting these Terms does not grant blanket permission for advertising trackers or unrelated collection. Child-facing third-party features shall be subject to the safeguards in Clause 14.
8Communications and optional marketing
8.1We may send appropriate account, purchase, security and service communications through the contact details supplied for the relevant Account, transaction or parental authorisation. A Parent need not create a Parent Account to receive communications necessary for that authorisation or transaction. Push notifications in the Student application depend on applicable device permissions and can be managed through device settings. Essential account or transaction information may still be sent through another appropriate channel.
8.2Promotional messages to a Parent shall be governed by separate marketing choices and Applicable Law, with an accessible opt-out. Account creation or purchase does not by itself authorise every promotional channel. Declining optional marketing shall not prevent access to purchased Services.
8.3We shall not use a Child’s learning history, private submissions or other Child Personal Data to target advertising to the Child or to create advertising profiles for targeting the Parent. Optional adult marketing permissions do not authorise processing of Child data for advertising.
9Educational limitations and warranties
9.1The Services support learning and do not guarantee marks, examination success, admission, qualifications or a particular educational outcome. Unless expressly stated for a specific offering, they supplement rather than replace the Student’s academic curriculum, instruction or professional advice. We shall exercise reasonable care in providing the Services; errors may be reported through Clause 20.
9.2The Platform may experience maintenance, interruptions or compatibility limitations. We do not promise uninterrupted or error-free operation on every device or network. You are responsible for a suitable device, internet connection and your own connectivity charges. This does not excuse our failure to provide expressly purchased benefits or comply with Applicable Law.
9.3Where an AI-enabled feature is actually offered and disclosed, its output may be inaccurate, incomplete or unsuitable and should be checked against reliable educational sources with appropriate adult supervision. It is not a substitute for human judgement or professional advice. Do not enter unnecessary identity, financial, medical or third-party confidential information into prompts. Clause 11 governs use of inputs and outputs; enabling an AI feature does not grant unrelated training rights.
9.4Any “as available” qualification is subject to expressly promised benefits and mandatory warranties, remedies and legal duties. No disclaimer makes the user bear responsibility for our unauthorised disclosure, failure to take legally required security measures or other breach of Applicable Law.
10Limitation of liability
10.1To the extent permitted by Applicable Law and subject to Clause 10.3, Escalara shall not be liable for indirect or consequential losses, loss of anticipated profit or business opportunity arising from use of these personal educational Services.
10.2Subject to Clause 10.3, our aggregate contractual liability arising from the Services shall not exceed the greater of the Subscription Fees paid for the affected Account during the twelve months immediately preceding the event giving rise to the claim and INR 1,000. This limit does not reduce a refund expressly payable under these Terms.
10.3The exclusions and cap do not apply to fraud, wilful misconduct, gross negligence, breach of confidentiality or data-protection obligations, death or personal injury caused by our negligence, or any liability or remedy which cannot lawfully be excluded or limited. They do not limit a regulator’s powers or prevent any complaint or remedy available under Applicable Law.
10.4We are not liable for an independent third party’s conduct solely because we link to that party. We remain responsible to the extent liability arises from our own conduct or from a provider’s acts for which Applicable Law makes us responsible.
11User Content, privacy and permitted use
11.1You or the relevant rights holder retain ownership of User Content. You shall submit material only where you have the necessary rights or lawful authority, and shall avoid including unnecessary information about the Child or another person.
11.2You grant Escalara a non-exclusive, royalty-free licence to host, reproduce, format, transmit and display User Content only as necessary to provide the selected Services, support the Account, maintain security and comply with law. Providers acting on our behalf may exercise those permissions only for the same purposes and subject to appropriate safeguards. This licence does not permit public promotion, sale, unrelated commercial reuse or general-purpose AI model training of identifiable submissions or recordings.
11.3The licence ends when the relevant content is deleted or the Account to which it relates is closed, except to the limited extent necessary for lawful retention, resolving an existing dispute or completing restricted backup deletion. Closing a Parent Account does not itself terminate the permissions lawfully required to provide the continuing Student Services. Retained copies shall not continue to be used for unrelated operational or commercial purposes. An intellectual-property licence does not override data-processing consent, withdrawal, erasure or other applicable rights.
11.4Private Student submissions and learning records are not made public or available to unrelated users or schools under these Terms. An appropriately authorised linked Parent may view the academic information described in Clause 3.5; optional dashboard access does not permit unrestricted access to every submission or record. If another sharing feature is offered, its audience and consequences must be disclosed and controlled through appropriate permissions and legal safeguards, including Parent permissions where required for a Child. There is no blanket consent to public sharing. Requests for disclosure by authorities shall be assessed under Applicable Law.
11.5We may remove unlawful, infringing or harmful material and comply with applicable reporting or takedown duties. Reasonable notice and a means to raise an error shall be provided where lawful and practicable. Our moderation rights do not exclude any duty imposed on us by law.
11.6Any recording of a Child, optional publicity or use of identifiable submissions beyond the selected educational purpose requires appropriate prior notice and separately obtained permission or another lawful basis where available. Such use is not authorised merely by these Terms. We shall not use identifiable Child submissions, prompts or recordings to train a general-purpose AI model on the basis of this licence; any proposed additional processing requires a separate legal assessment and lawful arrangements before implementation.
12Registration, subscriptions, payment and refunds
12.1Students register for Student Accounts; a Parent may separately choose the optional Parent Account described in Clause 3. A Parent is not required to create or operate the Student Account or maintain a Parent Account as a condition of access, subject to the separate parental authorisation and consent requirements for a Child. Accurate registration information shall be supplied and account credentials kept confidential; a Parent shall reasonably assist a Child with safe account use. Notify us promptly through Clause 20 if you suspect misuse. The contracting adult is responsible for authorised activity and loss attributable to their breach, to the extent permitted by law, without unconditional liability for every unauthorised transaction or security incident. We remain responsible for our own security duties.
12.2Only information reasonably needed for registration, the selected Services, security and legal compliance shall be requested. Data categories and purposes shall be explained in the Privacy Policy and relevant collection notices. Identity verification, camera access, microphone access or recording shall not be assumed merely from Account creation. Any required parental process must be completed before the relevant Child feature is enabled.
12.3Before purchase, we shall disclose the plan benefits, access period, total payable price including applicable taxes and compulsory charges, payment timing, any renewal arrangement and cancellation and refund conditions. Changes in price apply prospectively to a new purchase or renewal with required notice and authorisation. We shall not impose an undisclosed additional charge for an existing purchase.
12.4All payments for Zerqo Services are processed exclusively through Razorpay. Zerqo does not offer in-app purchases or collect payments through Apple App Store or Google Play billing. The paying adult shall complete the Razorpay payment process and comply with its applicable payment terms. A Parent Account is not required to make a payment. Card, bank, UPI and other payment credentials are supplied through Razorpay’s payment interface; Escalara does not collect or store full payment credentials, PINs, CVVs or payment-authorisation OTPs. Escalara may receive limited transaction information, such as payment status, reference, amount and billing information, for administering the Student’s subscription, refunds and lawful records, as described in the Privacy Policy. A payment alone does not authorise access to a Student’s dashboard or Personal Data.
12.5Automatic renewal or conversion of a free trial to a paid plan applies only if expressly offered, clearly disclosed and affirmatively authorised by a competent adult through the Razorpay payment process and any applicable mandate. These Terms do not themselves create a recurring-payment mandate. The renewal amount or its disclosed basis, frequency, trial end date and method of stopping further charges must be shown before authorisation. There shall be no pre-selected consent or undisclosed subscription. Requests to cancel future renewal shall be available through the relevant Student subscription channel, where provided, or support; use of an optional Parent Account shall not be compulsory for cancellation.
12.6Cancellation ordinarily stops the next renewal and permits access until the paid period ends, unless you request earlier closure or Applicable Law requires otherwise. Unless a disclosed plan or promotional guarantee provides otherwise, there is no change-of-mind refund for Services already supplied or a partly used period. This does not exclude remedies for duplicate or unauthorised charges, non-supply, deficiency, material misdescription or any other case requiring a refund under Applicable Law. If we permanently discontinue a paid Service or cannot supply the purchased benefit, we shall refund the proportion attributable to the unprovided portion unless you accept an appropriate substitute. Accepted refunds shall be processed without unreasonable delay, subject to applicable legal timelines. No arbitrary cancellation penalty shall be imposed; where the E-Commerce Rules apply, a consumer cancellation charge shall not be imposed unless Escalara bears a similar charge when it unilaterally cancels the purchase.
12.7Payment disputes, subscription cancellation and refund requests shall be raised with Escalara through Clause 20, with the relevant transaction reference where available. Approved refunds shall be initiated through Razorpay to the original payment method wherever supported and lawful, subject to applicable processing timelines. Razorpay’s role as payment gateway does not relieve Escalara of its obligations concerning the Services or legally required refunds. Deleting the Student application or unlinking or closing a Parent Account does not, by itself, cancel a Student subscription or a separately authorised Razorpay mandate. Clauses 14 and 18 govern Account closure and consent withdrawal.
12.8If a valid payment fails or is reversed, we may suspend the affected paid benefits after notice and a reasonable opportunity to resolve the issue, except where urgent action is justified. A bona fide disputed charge may be raised through Clause 20. Only amounts lawfully due remain payable.
13Academic integrity and child safety
13.1The Services shall not be used for cheating, plagiarism, bullying, sexual exploitation, discriminatory abuse, solicitation of private Child information or other unlawful or harmful conduct. You shall not misrepresent an AI-generated answer as wholly your own work where this breaches applicable assessment rules. Account credentials shall not be sold or shared with unrelated users.
13.2Where interactions or uploads are enabled, you shall use the available reporting mechanisms to flag harmful content or conduct. We may restrict a feature or contact the Parent where reasonably necessary to protect a Child, subject to lawful disclosure and account-verification procedures. These Terms do not guarantee continuous human supervision or replace the Parent’s reasonable oversight.
14Personal Data, children and statutory commencement
14.1We shall handle Student and Parent Personal Data, including Child Personal Data, in accordance with the Privacy Policy and the provisions of Applicable Law then in force. Until the relevant DPDP provisions commence, existing duties under the Information Technology Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 continue to apply to the extent applicable. Nothing in these Terms treats a deferred statutory provision as already operative or removes a current obligation.
14.2For the personal-data processing whose purposes and means Escalara determines for its own Services, Escalara is the responsible entity and, when the corresponding substantive DPDP provisions apply, acts as Data Fiduciary. Parents and adult users are Data Principals in respect of their own data; for a Child, the DPDP definition of Data Principal includes the Parent or lawful guardian. Providers processing data on our behalf perform the corresponding processor role. These Terms do not appoint a Parent, school or institution as the Data Fiduciary for Escalara’s own processing or shift our responsibilities to them.
14.3Parental authorisation for a Child’s Student Account and consent for relevant processing shall be obtained and recorded through the applicable process without requiring a Parent Account. Creating or linking the optional Parent dashboard is a separate choice and is not deemed to supply every required consent. As and when legally required, we shall obtain verifiable parental consent before the relevant Child Personal Data is processed and perform the prescribed due diligence. A statement of parenthood, an OTP by itself, acceptance of these Terms, or the Child’s use is not a contractual substitute for the verification required by law. We may restrict Child features pending the necessary process, while limiting verification-data collection to what is lawful and necessary. Parents who do not use the dashboard shall have access to the published authorisation, consent-withdrawal and grievance channels without creating a Parent Account.
14.4You may use the methods published in the Privacy Policy or contact Clause 20 to request review or correction of information, withdraw a relevant consent or request Account or data deletion. We shall authenticate the request proportionately and respond under the applicable legal framework. Withdrawal affects only processing or features dependent on that consent; refusing optional processing does not disable unrelated purchased benefits. Lawfully required records may be retained with restricted use. From commencement of the relevant DPDP provisions, the statutory rights of access, correction, erasure, grievance redressal and nomination shall be enabled in accordance with those provisions and the published procedure; withdrawal shall be comparably easy to giving consent.
14.5We do not sell identifiable Child Personal Data or use it for advertising profiles, targeted advertising to children or cross-service advertising tracking. Learning responses, assessments and progress information may be used only for the educational purposes disclosed and lawfully permitted. These Terms do not authorise tracking or behavioural monitoring prohibited by law. When Section 9 becomes applicable, any such feature must comply with its restrictions; no exemption is assumed merely because the Platform is educational, and parental consent cannot authorise prohibited processing.
14.6We shall implement the reasonable security measures, provider safeguards, retention limits, lawful transfer conditions and incident-response obligations required by Applicable Law. Statutory DPDP requirements relating to notices, verifiable consent, children’s processing, breach intimations and rights apply from their respective commencement dates, subject to lawful exemptions. We shall update the relevant notices and operational processes by those dates. A future compliance obligation does not itself provide a present permission to process data. Information described as anonymous or aggregated shall be treated as outside identifiable-data restrictions only where individuals are not identifiable by or in relation to it; removal of names alone is not sufficient.
14.7These Terms do not waive any statutory privacy right, right to complain or regulatory remedy. Where the DPDP grievance provisions apply, escalation to the Data Protection Board shall follow the applicable statutory procedure, including prior use of our grievance mechanism where required. An arbitration provision does not oust that jurisdiction.
15Intellectual property and complaints
15.1Escalara or its licensors own the Platform software, branding and proprietary educational Content. User Content remains subject to Clause 11, and any separately identified third-party licence remains effective. No proprietary claim extends to material which Escalara does not own or lawfully license.
15.2You shall not infringe our or a third party’s intellectual-property rights, falsely imply endorsement, or register deceptively similar marks. These restrictions do not remove rights permitted by Applicable Law.
15.3A rights holder may report suspected infringement to hello@zerqo.io or the Grievance Officer, identifying the work, the disputed material or location, the nature of the claim, their authority and contact details. We shall assess the report and take action required by Applicable Law, which may include restricting access or seeking clarification. A report does not automatically establish infringement.
16Representations and responsibilities
16.1The contracting adult represents that they are competent to contract, provide accurate information to the best of their knowledge, and have the necessary rights in material they submit. A Parent authorising a Child’s use or requesting a linked dashboard also represents that they have the relevant parental or guardianship authority. You shall promptly correct material inaccuracies and reasonably cooperate with proportionate verification and security requests. A person paying for a subscription shall not falsely represent that payment gives them parental authority or access to the Student’s information.
16.2These representations do not relieve Escalara of any independent duty to give notice, obtain consent, verify eligibility where legally required, protect information or otherwise comply with Applicable Law. They do not require a Child to give contractual warranties.
17Indemnity
17.1To the extent permitted by Applicable Law, the contracting adult shall indemnify Escalara against direct losses and reasonable defence costs arising from a third-party claim caused by that adult’s fraud, wilful unlawful conduct, knowing infringement, or material breach of these Terms. This includes deliberate misrepresentation of parental authority where it causes the claim. No Child gives an indemnity.
17.2The indemnity does not cover losses attributable to Escalara’s breach, negligence, unlawful processing or failure to perform required verification, or liabilities and penalties which cannot lawfully be passed to the user. We shall give reasonably prompt notice, take reasonable steps to mitigate loss and permit reasonable participation in the defence. We shall not settle a claim imposing an admission, payment or continuing obligation on you without your consent, not to be unreasonably withheld.
18Suspension, termination and deletion
18.1An adult Student may request closure of their Student Account; an appropriately authorised Parent may make a relevant request for a Child through the published process or support contact in Clause 20, whether or not the Parent has a Parent Account. A Parent may separately unlink or close their optional Parent Account. Closure of that dashboard alone does not close the Student Account, withdraw all parental consent or cancel a Student subscription. Student Account closure, cancellation of future billing, consent withdrawal and data deletion are related but distinct actions; we shall explain the relevant consequences. On processing closure of the Student Account, we shall stop further renewals which we control and provide reasonable assistance concerning any separately authorised Razorpay mandate. A data-protection request is not conditional on first cancelling a payment mandate.
18.2We may suspend or terminate affected access for a material breach, fraud, non-payment, unlawful or harmful conduct, lack of valid parental authority, a legal requirement or a serious security risk. A defect concerning a Parent’s dashboard access does not by itself justify closing the Student Account where the Student’s continued access is otherwise lawfully authorised. Unless urgent action is needed, we shall give reasons and a reasonable opportunity to remedy a remediable breach. You may ask the Grievance Officer to review an apparent error. A privacy request, complaint or refusal of optional marketing is not itself misconduct.
18.3If consent necessary for a Child feature is withdrawn, we shall stop the processing dependent on that consent within the period required by Applicable Law and disable only the feature or Account access that cannot lawfully continue. Optional permissions shall be handled separately. Applicable cancellation and refund rights are governed by Clause 12 and law, without a penalty merely for exercising a privacy right.
18.4On termination, access to the affected Account or Service ends and lawfully accrued payment obligations remain payable. Termination of the Parent dashboard alone does not end continuing Student access. Unused fees are dealt with under Clause 12 and any valid purchase terms; termination does not automatically forfeit every prepaid amount. We shall delete or restrict the relevant Personal Data in accordance with the Privacy Policy and Applicable Law, including lawful record-retention requirements and restricted backup processes. We shall not promise immediate deletion of records which law requires us to retain.
19Notices
19.1Account-specific and material contractual notices shall ordinarily be sent through the registered contact details or displayed prominently in the relevant Account with an appropriate alert. Where a notice requires the contracting adult’s attention or concerns a Child’s parental authorisation, we shall use the relevant adult contact details provided for that purpose, whether or not a Parent Account exists. General announcements may be posted on the Platform. Publication in unrelated media is not sufficient by itself to establish receipt of a personal notice.
19.2You may send notices and requests to hello@zerqo.io or our registered office. Data and grievance requests may also be made through the published Account or Privacy Policy channels. You are not required to use postal correspondence where a digital channel is provided. We shall maintain appropriate records of notices and acknowledgements.
20Support and grievance redressal
20.1For account, payment, content, safety or personal-data complaints, contact our Grievance Officer: Name: Mr. Bikram Das; Designation: Director, Escalara Private Limited; Email: hello@zerqo.io; Telephone: 7738100632; Postal address: Escalara Private Limited, Flat No. 2001, Tower No. C, Runwal Bliss, Mumbai 400 042. General support: hello@zerqo.io. The relevant details and complaint channels shall also be displayed prominently on the Platform.
20.2We shall acknowledge complaints within forty-eight hours and address and redress them expeditiously and within one month of receipt, subject to any shorter mandatory period applicable to a particular complaint. Where law requires a copy of the complaint as recorded, we shall supply it. If a complaint remains unresolved, we shall explain its status and available escalation, without extending a mandatory deadline. This does not postpone urgent reporting, removal or incident duties imposed by law.
20.3From commencement of the relevant DPDP provisions, our published procedure shall also explain how the Data Principal may exercise the statutory rights and escalate a qualifying grievance to the Board after the required prior process. Nothing prevents a complaint to another competent statutory authority or forum where available under Applicable Law.
21Miscellaneous
21.1Amendments. We may revise these Terms prospectively. We shall identify the update date and give reasonable advance notice of a material change through the relevant contracting adult’s contact details or the applicable Account, except where an immediate change is necessary for legal compliance, safety or security. A required Parent notice or consent shall not depend on a Parent Account being maintained. Fresh acceptance or consent shall be obtained where required. A revision does not retrospectively change an accrued claim, an already purchased benefit or the agreed dispute mechanism for an existing dispute. If a material change adversely affects a paid benefit and you do not accept it, Clause 12 governs the unprovided portion.
21.2Governing law and disputes. These Terms are governed by Indian law. The parties may first seek resolution through Clause 20, without restricting urgent relief or a statutory remedy. Disputes legally capable of arbitration shall be referred to a sole independent arbitrator mutually agreed by the parties or, failing agreement, appointed through the competent procedure under the Arbitration and Conciliation Act, 1996. The seat shall be Mumbai, Maharashtra; the language shall be English. Hearings may be conducted remotely by agreement or as lawfully directed. Subject to mandatory statutory jurisdiction and the jurisdiction arising from the arbitral seat, courts at Mumbai having competent jurisdiction shall have exclusive jurisdiction. Nothing requires a waiver of access to a competent consumer commission, the Data Protection Board or another statutory forum, or permits unilateral appointment of the arbitrator by Escalara.
21.3Confidentiality. Public Terms, your own information and ordinary learning activity are not made confidential merely by these Terms. Any genuine non-public information expressly entrusted in confidence shall be protected, subject to lawful disclosure, professional advice and reporting misconduct. This clause does not restrict complaints or access to legal remedies.
21.4Force majeure. Neither party is responsible for delay in obligations prevented by an event beyond its reasonable control, to the extent it takes reasonable steps to mitigate and resume performance. We shall inform affected users where practicable. A preventable security failure or a failure to perform a legal duty is not automatically excused. Prolonged or permanent inability to supply paid benefits remains subject to Clause 12.
21.5Providers and assignment. We may use appropriately bound providers to perform the Services, remaining responsible as required by Applicable Law. A lawful business transfer shall not expand data-processing purposes or reduce accrued user rights; required notice, consent and safeguards shall be observed. You may not transfer an Account to an unrelated person without our permission.
21.6General provisions. No partnership, employment or agency relationship is created. Failure to enforce a provision is not a waiver. If a provision is invalid, the remaining provisions continue to the extent they can operate lawfully; an invalid provision is severed or limited only as permitted by law. Except for rights under a separately applicable app-store licence or rights required by law, these Terms confer no independent enforcement right on an unrelated third party. Lawfully accrued payment obligations and provisions concerning intellectual property, limited User Content permissions, privacy and retention, liability, disputes and other matters intended by their nature to survive shall survive termination only to the extent appropriate and lawful.
